Terms of service

These terms govern your use of the BrainBox Infoway website and the services we provide. By using our site or engaging us, you agree to them. Signed project agreements or statements of work (SOWs) take priority over these terms where they differ.

1. Services

BrainBox provides Shopify development, custom web and app development, CRO, integrations, maintenance, and AI automation services. The scope, deliverables, and timeline for each project are defined in a written quote, SOW, or retainer plan.

2. Engagement models

  • Project-based: a fixed scope and price, usually billed in milestones.

  • Hourly: billed at the agreed rate for time worked.

  • Monthly retainer: a set number of hours each month, billed in advance. Retainers are month-to-month. Hours do not roll over unless agreed in writing.

3. Payment

  • Invoices are payable in USD within 7 days of the invoice date unless stated otherwise.

  • Project work may require an upfront deposit before we start.

  • We may pause work on overdue invoices. We may charge 1.5% monthly interest on late payments.

  • You are responsible for any taxes, bank fees, and third-party costs (apps, themes, hosting, licenses).

4. Client responsibilities

You agree to provide timely feedback, content, and access, and to confirm you own or have rights to everything you supply. Delays on your side may move timelines and costs.

5. Changes to scope

Work outside the agreed scope is quoted separately and starts only after your approval.

6. Intellectual property

  • On full payment, you own the custom code and deliverables we create specifically for you.

  • Third-party apps, themes, libraries, and platform tools remain under their own licenses.

  • We keep ownership of our pre-existing tools, frameworks, and reusable code, and grant you a license to use them as part of your deliverables.

  • We may reference the project in our portfolio unless you ask us not to or an NDA prevents it. White-label work is never attributed.

7. Confidentiality

Both parties will keep the other's non-public information confidential and use it only for the project. This does not apply to information that is public or that the law requires us to disclose.

8. Third-party platforms

Our work depends on platforms such as Shopify, apps, and APIs that we do not control. We are not responsible for changes, outages, or policy updates by third parties, or for charges they impose.

9. Warranty and support

We will perform services with reasonable skill and care. For project work, we will fix defects in our delivered work reported within 30 days of launch at no extra charge. This does not cover issues caused by third-party changes, client edits, or new requests. Except for this, services are provided "as is."

10. AI-assisted work

We may use AI tools in our workflow. Our team reviews all deliverables, and we do not use your project data to train public AI models. For AI automation projects, outputs should be reviewed by you before business-critical use.

11. Limitation of liability

To the extent permitted by law, BrainBox is not liable for indirect, incidental, or consequential losses, including lost profits, revenue, or data. Our total liability for any claim is limited to the fees you paid us for the specific service giving rise to the claim in the 3 months before the claim. You are responsible for maintaining backups of your store and data.

12. Termination

Either party may end an engagement with 14 days' written notice. You pay for all work completed up to the termination date. We may end an engagement immediately for non-payment or a material breach.

13. Governing law

These terms are governed by the laws of India. Courts in Ahmedabad, Gujarat have exclusive jurisdiction, unless we agree on arbitration in writing.

14. Changes

We may update these terms. Continued use of our site or services means you accept the updated version.
